This merchant agreement is made on the 21st of February, 2022 between BWBMart and you (Seller/Vendor/Supplier) with respect to licensing certain rights and Vendor’s products.
The domain name – https://bwbmart.com, hereinafter would be referred to as BWBMart and it is owned by BWB Technologies LLC and BWB Processing and Trading Limited. It is operated as an online eCommerce marketplace for the display, advertising and sale of products and services by various vendors to other businesses and individuals and povides related services to the vendors and users of the websites on behald of the vendors as the vendors’ service provider.
These Terms of Service form part of the Merchant Agreement entered into between BWBMart and your business. The terms are incorporated in this Merchant Agreement by way of reference and constitutes part of the binding Agreement executed between BWBMart and your business. In this agreement, BWBMart refers to BWB Technologies LLC and BWB Processing and Trading Limited.
BWBMart acts as the Merchant’s service provider for providing various services in relation to the sale of its products as agreed under this Agreement, and the use of the website for enabling the promotion and advertisement of its products. By Product(s) we mean any goods and related services of the Merchant for which BWBMart makes available.
a) The Merchant shall offer its Products to BWBMart for the purpose of sale on the Website.
b) The Merchant shall either source source the products required by the buyer or provide its owned products and ensure that they are the right quality before delivery to BWBMart representatives which includes any of its 3rd party logistics companies.
c) Prior to supply of products, the Merchant shall make delivery arrangements with BWBMart.
d) If the Buyer notices or complains of any default after receipt, the goods shall be returned and a replacement made to the buyer with the Merchant bearing the costs involved for that exercise to occur. Also, the Merchant could sell the defective products in Buyer’s country at knocked down prices.
As part of the service, BWBMart shall carry out the following functions for and on behalf of the Merchant for consideration as agreed under the Merchant Agreement.
a) Manage the sale of products through its website.
BWBMart shall display on behalf of Merchant, its products on the website based on preference opted for by the Merchant. BWBMart would also change advertising model if Merchant decides to upgrade or downgrade Merchant package options. BWBMart also offers standalone advertising offers and would provide Merchant with such services if Merchant decides to request for any or all of them.
a) Prior to the products being sold on the website, the Merchant shall within 2 (two) business days, ensure the availability of the products for servicing customer orders, and provide the stock summary.
a) The Website will enable buyers to place orders for the product(s) they wish to purchase.
b) Upon receiving the confirmation of the order by the buyer, BWBMart will send a notification to the Merchant for the supply.
c) The Merchant shall ensure to provide all relevant documentation to facilitate shipping of the products within 2 to 5 working days.
a) The buyers shall be given the choice to make payments for the purchase of the product through different options.
b) 30% – 50% payment will be made to the Merchant before shipping takes place and the balance percentage after the receipt of the products and after removing the transaction fees.
a) The Merchant grants BWBMart for the term a royalty free irrevocable license to use its intellectual property for the purposes of providing the services as contemplated hereunder.
b) The term “Intellectual Property” refers to include logos, trade names, brand names, trademarks, copyrights and other relevant intellectual property rights relevant to the advertisement and sale of the products.
a) The Parties shall keep all negotiations confidential and maintain the content of the Terms of Service with the Merchant Agreement in strict confidence and shall make no announcement or disclosure without prior written approval of BWBMart’s owners or any of its authorised representatives.
